Somnialis is the online store operated exclusively by SANODOR SRL. Through somnialis.com, we sell products intended for sleep and home comfort to individual and business customers, under the conditions presented on the website and in the published legal documents.

We aim to make the information presented on the website clear, accurate and useful, and to make the purchasing process transparent and easy to follow. In the legal pages of the website, you will find information about orders, payment, delivery, returns, warranties, data processing and contact methods.

2. Terms and Conditions

1. General information

This document sets out the terms and conditions for using the website somnialis.com and the conditions applicable to orders and purchases made through it.

The website somnialis.com is operated exclusively by SANODOR SRL, hereinafter referred to as the “Seller” or the “Merchant”.

By accessing the website, placing an order or using any functionality of the online store, the Customer confirms that they have read and accepted these Terms and Conditions.

2. Definitions

For the purposes of this document:

  • Website means the online store somnialis.com;
  • Customer / User means any individual or legal entity that accesses the website or places an order;
  • Consumer means an individual acting for purposes outside their trade, business, craft or profession;
  • B2B Customer means a legal entity or authorized individual purchasing for professional purposes;
  • Products means the goods sold through the Website;
  • Order means the electronic document through which the Customer expresses their intention to purchase products from the Website;
  • Contract means the distance contract concluded between the Seller and the Customer at the time the order is dispatched.

3. Sales territory

Sales through the Website are addressed to consumers and professional customers, with delivery available in Romania, Greece, Bulgaria, France, Italy and Germany.

The Seller reserves the right to modify the delivery area depending on the logistical and commercial options displayed at checkout.

4. Products. Descriptions. Availability

The products are described on their dedicated pages, including information regarding materials, dimensions, care instructions and, where applicable, special characteristics.

Images are for presentation purposes. Minor differences in shade, texture or appearance may occur, especially in the case of natural materials, without affecting the functionality or essential quality of the product.

Products may be standard or customized. Customization may concern, where applicable, dimensions and filling density.

Product availability is displayed on the Website and may vary. Orders are processed subject to available stock and production capacity.

5. Prices. Discounts. Promotional codes

The prices displayed on the Website are expressed in the currency indicated on the Website and include VAT, unless otherwise stated.

Delivery costs are not included in the product prices, except where the Seller expressly communicates a free shipping campaign.

In the case of promotional campaigns, price discounts, promotional codes, bundles or free shipping benefits, the rules of each campaign apply according to the information communicated on the Website, in newsletters, promotional materials or the campaign regulations.

When a price reduction is announced, the previous price displayed will be established in accordance with the applicable legislation.

Promotional codes:

  • are valid only during the communicated period;
  • cannot be converted into cash;
  • do not apply retroactively to orders already placed, unless otherwise specified;
  • cannot be combined with other promotions, unless expressly stated otherwise.

6. Placing an order. Conclusion of the contract

Orders may be placed with or without a customer account, depending on the options available on the Website.

The usual order steps are: selecting the products, completing delivery and billing details, choosing the payment method, choosing the delivery method and confirming the order.

The automatic transmission of the order receipt confirmation e-mail does not constitute the conclusion of the contract. It only confirms that the order has been registered in the system.

The contract is considered concluded on the date the order is dispatched by the Seller.

The Seller sends the Customer the contract confirmation on a durable medium, usually by e-mail, within a reasonable time and no later than the time of delivery of the goods.

The Seller reserves the right to refuse or cancel an order in justified situations, such as:

  • product unavailability;
  • obvious pricing or description error;
  • impossibility of delivery;
  • incomplete or incorrect data provided by the Customer;
  • reasonable suspicions of fraud or abuse.

In such cases, the Customer will be informed, and if payment has already been made, the amount will be refunded according to the applicable rules.

7. Order cancellation

The Customer may request cancellation of the order within a maximum of 6 hours from placing it or until the order obtains the status “dispatched”, whichever occurs first.

After dispatch, the order can no longer be cancelled, but the Consumer may exercise, where applicable, the right of withdrawal under the conditions of the Return Policy and applicable legislation.

8. Payment. Invoicing

The accepted payment methods are those displayed on the Website at the time of ordering, including card payment, cash on delivery and bank transfer, where applicable.

Invoices may be issued both electronically and on paper, depending on the operational flow applicable to the order.

For intra-Community B2B orders, invoicing without VAT in Romania may apply only if the conditions provided by the applicable tax legislation are met, including validation of the VAT number and the other documentary requirements related to intra-Community deliveries.

9. Delivery

Delivery is made by courier to the address indicated by the Customer. The Seller may use, according to logistical and commercial needs, carriers such as Packeta, DPD, Sameday or other courier partners.

Indicative delivery times are:

  • Romania: 3–5 business days for products in stock; 5–7 business days for customized products;
  • EU: dispatch from the warehouse within 3–5 business days for products in stock and 5–7 business days for customized products, to which an estimated courier transit time of 3–5 business days may be added.

Delivery times are estimated and may vary depending on the courier, order volume, busy periods, public holidays, weather conditions or other circumstances beyond the Seller’s control.

Unless otherwise agreed, delivery shall be made without undue delay and, in any case, no later than 30 days from the conclusion of the contract. The risk relating to the goods is transferred to the consumer when the consumer or a person designated by them takes physical possession of the goods, subject to the exceptions provided by law.

Shipping is free only during free shipping campaigns expressly communicated by the Seller.

10. Consumer right of withdrawal

The Consumer benefits from the right of withdrawal within the term and under the conditions provided by law and by the Return Policy published on the Website.

The right of withdrawal does not apply, among others, to customized products and sealed products that cannot be returned for health protection or hygiene reasons if they have been unsealed after delivery. For Somnialis, this category may include pillows, duvets, toppers and bed linen when delivered sealed and subsequently unsealed.

11. Legal warranties. Conformity. Complaints

Products sold to consumers benefit from the legal warranty of conformity, under the conditions of Romanian Government Emergency Ordinance no. 140/2021.

The Seller is liable to the consumer for any lack of conformity existing at the time of delivery and identified within 30 days from that date. In the event of lack of conformity, the consumer may request, under the conditions of the law, repair, replacement, proportional price reduction or termination of the contract.

The care and use instructions are displayed in the product description and/or on the label attached to the product and must be observed.

12. Specific B2B conditions

For B2B customers, the legal 14-day right of withdrawal applicable to consumers does not apply, unless the Seller expressly agrees otherwise in writing.

The commercial conditions applicable to B2B customers, including prices, payment terms, production times for customized products, returns and tax treatment, may be established separately, on a case-by-case basis.

B2B returns, if accepted, are analyzed individually and may be subject to the condition of the products, the notification period, packaging, supporting documents and other conditions communicated by the Seller.

13. Intellectual property

The content of the Website, including texts, images, graphic elements, databases, design, logos and other materials, belongs to SANODOR SRL and/or its partners and is protected by applicable legislation.

Without the Seller’s prior written consent, copying, distributing, publishing, modifying or using the Website content for commercial purposes is prohibited.

14. Personal data and cookies

The processing of personal data is carried out in accordance with the Privacy Policy.

The Website uses cookies and similar technologies in accordance with the Cookie Policy and the consent options displayed on the Website.

15. Liability

The Seller makes reasonable efforts to maintain the accuracy of the information published on the Website, but does not guarantee the complete absence of technical, display or operational errors.

The Seller is not liable for damages caused by improper use of the products, failure to follow care instructions, force majeure events or circumstances beyond its control.

16. Applicable law. Disputes

This document is governed by Romanian law.

Any disagreement will be settled primarily amicably. Consumers may also use alternative dispute resolution mechanisms through SAL-ANPC. For details, please consult the ANPC / SAL page on the Website. The EU ODR platform is no longer available.

17. Changes to the terms

The Seller may modify these Terms and Conditions whenever necessary. The applicable version is the one published on the Website on the date the order is placed.

3. Delivery Policy

Somnialis delivers to Romania, Greece, Bulgaria, France, Italy and Germany, as well as to other countries if the user / buyer requests this and if delivery can be carried out under logistical conditions accepted by the Seller.

Delivery is made by courier to the address indicated by the Customer, through logistics partners such as Packeta, DPD, Sameday or other carriers selected by the Seller, depending on the delivery area and cost optimization.

For products in stock, the indicative preparation and dispatch time is 3–5 business days. For made-to-order or customized products, the indicative preparation and dispatch time is 5–7 business days.

For deliveries to EU countries served by the Website, after dispatch from our warehouse, an estimated courier transit time of 3–5 business days may be added.

The above terms are estimates. They may be influenced by the time of year, order volume, material availability, traffic conditions, courier delays, public holidays, weather conditions or other situations beyond the Seller’s control.

The delivery cost is displayed before the order is completed. Free shipping is granted only within campaigns expressly announced.

Upon receipt of the parcel, the Customer is asked to check the external condition of the packaging. If the packaging is visibly damaged, we recommend refusing the parcel, photographing the parcel and reporting the situation immediately.

In the case of delayed, damaged or undelivered parcels, the Customer may contact us at moc.silainmos@su-tcatnoc or through the contact form on the Website.

4. Return Policy

This Return Policy applies exclusively to individual consumers.

1. Right of withdrawal

The Consumer has the right to withdraw from the contract, without giving any reason, within 14 calendar days from the date on which the Consumer or a person designated by them takes physical possession of the products.

2. How to exercise the right of withdrawal

To exercise the right of withdrawal, the Consumer must send us their decision through an unequivocal statement, by e-mail at moc.silainmos@su-tcatnoc or through the contact form available on the Website.

It is mandatory to mention the order number and the customer identification details inside the parcel.

4. Return shipping deadline

The Consumer must send back the products without undue delay and no later than 14 days from the date on which they informed us of the withdrawal.

5. Return cost

The direct cost of return shipping is borne by the Consumer, unless the Seller has communicated otherwise.

6. Condition of returned products

The Consumer is responsible only for any diminished value of the products resulting from handling other than what is necessary to determine the nature, characteristics and functioning of the products.

The products must be properly packed for transport and returned new, unused, in their original condition, together with the related accessories and identification elements.

7. Exceptions from the right of withdrawal

The right of withdrawal does not apply, among others, to:

  • products made according to the Consumer’s specifications or clearly customized, including products customized by dimensions or filling density;
  • sealed products that cannot be returned for health protection or hygiene reasons, if they have been unsealed after delivery.

In the case of Somnialis, this exception may include, when delivered sealed and subsequently unsealed: pillows, duvets, toppers and bed linen.

8. Refunds

The Seller refunds the amounts due within no more than 14 days from the date on which it is informed of the withdrawal decision, but may postpone the refund until receipt of the returned products or until receipt of proof that the products have been sent back, whichever occurs first.

The refund is generally made using the same payment method used for the initial transaction.

If payment was made by cash on delivery, the customer must provide a valid bank account for the refund to be made by bank transfer.

9. Partial returns for bundles

In the case of bundle offers, the return is generally accepted only for the entire bundle, in compliance with applicable legislation.

5. Warranties, conformity and complaints

The products sold on somnialis.com benefit from the legal warranty of conformity provided by the applicable legislation.

SANODOR SRL does not generally grant an additional commercial warranty, except where such warranty is expressly mentioned for a specific product, campaign or promotional material.

If a product delivered to a consumer is non-compliant, the consumer may request, under the conditions of the law:

  • repair of the product;
  • replacement of the product;
  • proportional price reduction;
  • termination of the contract, if the legal conditions are met.

The complaint should include, as far as possible:

  • the order number;
  • a clear description of the issue;
  • relevant photographs;
  • the customer’s contact details.

The care and use instructions are displayed in the product description and/or on the product label. Failure to comply with them may affect the assessment of a complaint regarding the use of the product.

In situations confirmed as lack of conformity, the reasonable costs related to resolving the complaint, including related transport costs, will be borne by the Seller, in accordance with the law.

7. How long we keep data

We keep data only for the period necessary for the purposes for which it was collected and for compliance with legal obligations. As a general guideline:

  • documents related to orders, invoices and accounting records: 10 years, according to applicable legal obligations;
  • support requests, returns and complaints: 3 years from the closure of the request, unless there is a legal reason for longer retention;
  • data from contact forms without completing an order: 2 years from the last interaction;
  • data used for newsletter and consent-based marketing: until consent is withdrawn or, in the absence of interaction, no more than 3 years from the last relevant interaction;
  • data used for communications regarding similar products: until the data subject objects or until the communication is no longer relevant in relation to the commercial relationship;
  • technical logs and security data: generally up to 12 months, unless longer retention is necessary for security or for defending rights.

We do not send SMS marketing.

10. General Promotional Campaign Rules

These general rules establish the general conditions applicable to promotional campaigns carried out by SANODOR SRL on somnialis.com, except where a separate regulation is published for a specific campaign.

1. Organizer

The promotional campaigns are organized by SANODOR SRL, the operator of somnialis.com.

2. Types of campaigns

Campaigns may include, where applicable:

  • price discounts;
  • promotional codes;
  • free shipping;
  • bundle / package offers;
  • promotional gifts;
  • campaigns with influencers and discount codes;
  • contests, raffles or other promotional mechanics, if communicated.

3. Duration and scope

Each campaign is valid during the communicated period and under the conditions announced on the Website, in newsletters, on social media or in other promotional materials.

4. Eligible products

The campaign applies only to the products and categories expressly indicated. Unless otherwise stated, customized products, auxiliary services or other products excluded in the campaign announcement do not participate.

5. Combining promotions

Promotions cannot be combined with each other unless expressly stated otherwise.

6. Stocks

Campaigns are valid while stocks last, unless otherwise communicated.

7. Promotional codes

Promotional codes:

  • may have a limited period of use;
  • may be limited to certain products, minimum order values or certain accounts;
  • cannot be converted into cash;
  • do not apply retroactively to orders already placed.

8. Reduced prices

In the case of price reduction campaigns, the display of the previous price and the discount is made in accordance with the applicable legislation.

9. Returns within campaigns

In the case of a return of a product purchased in a promotion, the amount actually paid for the returned product will be refunded, under the conditions of the law. In the case of bundle offers, the return is generally accepted in full.

10. Influencers and personalized codes

In campaigns carried out with influencers, affiliates or brand ambassadors, the codes and special conditions apply only within the limits expressly communicated in the respective campaign.

11. Campaign changes

The Organizer may modify, suspend or terminate a campaign for justified reasons, with appropriate public information, without affecting rights already acquired for validly confirmed orders.

Reviews may only be added by customers authenticated in their customer account after making a purchase. For this reason, the reviews published on the Website come from customers confirmed as having a purchasing relationship with the store.

SANODOR SRL reserves the right not to publish or to remove reviews that:

  • contain offensive, defamatory or inappropriate language;
  • are not related to the product being reviewed;
  • include excessive personal data;
  • contain links, advertisements or illegal content.

Publishing a review does not transfer to the customer any right over the product page or over the Website content, but grants the Seller the right to display the review in the context of marketing the respective product.
